SurgeWP Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the SurgeWP website located at https://www.surgewp.com (the “Site”) and any plugins, software, downloads, license keys, services, documentation, and related materials offered by SurgeWP (together, the “Products”).

By purchasing, downloading, installing, or using any Product, you agree to these Terms.
1) License Grant
SurgeWP grants you a non-exclusive, limited, revocable license to download, install, activate and use the Products in accordance with:
- these Terms,
- the license type you purchased, and
- any usage limits shown on the checkout page or in your account.
You may not share, sell, sublicense, or otherwise redistribute a license key or access to Product updates/support except as explicitly permitted in these Terms.
2) Privacy Policy
Conditions related to purchasing, data handling, and communications are also covered in the SurgeWP Privacy Policy.
By purchasing through the Site, you acknowledge that:
- your email address may be added to a customer notification list (e.g., product updates, service notices, account-related communications), and
- you can opt out of non-essential marketing emails at any time via the unsubscribe link in the email.
Order information is retained for record-keeping unless and until you request deletion, subject to any legal or accounting requirements.

3) Plugin Licensing (GPL)
Unless otherwise stated on the Product page, SurgeWP WordPress plugins are licensed under the GNU General Public License (GPL): http://www.gnu.org/licenses/gpl.html
Note: Some non-code assets (e.g., branding, artwork, logos, screenshots, and documentation) may be subject to additional restrictions as outlined in Section 7.
4) Automatic Updates & Support Term
Automatic updates and support are available to customers with an active license.
Your license includes updates and support for 1 year from the date of purchase (unless stated otherwise at checkout). After the term ends, you may continue using the Product, but updates and support require renewal (or a new license purchase).
Your license key is issued to you and may not be shared, resold, sublicensed, or used outside the limits of your plan.
5) License Types & Usage Limits
Your license type determines how many sites you can use the Product on. Unless otherwise stated on the purchase page, your plan limits are:
- Personal: up to 1 website
- Freelance: up to 25 websites
- Agency: up to 250 websites
“Website” refers to a single production site. Reasonable development/staging/local instances for the same production site are permitted.
Client work
Client site usage is permitted where you (or your business) maintain an ongoing relationship with the client (e.g., as a consultant/agency). You may not provide the Product, license key, or updates/support access as a standalone resale or “plugin access as a service”.
6) Delivery
After successful payment, you will be directed to a receipt page containing applicable download link(s). A copy of your receipt will also be emailed to you.

7) Ownership & Intellectual Property
You may not claim intellectual or exclusive ownership rights to any SurgeWP Products.
All Products are provided “as is” without warranty of any kind, express or implied (see Section 13). SurgeWP retains all rights, title, and interest in and to the Products, excluding third-party software/components governed by their own licenses.
8) Site Content
All Site content (including imagery, design, copy, and documentation) published on surgewp.com is the property of SurgeWP (or its licensors) unless otherwise stated.
You may not copy, reproduce, republish, or exploit Site content for commercial or non-commercial purposes without prior written consent from SurgeWP.
9) Refunds
SurgeWP offers limited refunds within 14 days of purchase for legitimate lack of functionality, where:
- you have made an honest attempt to resolve the issue through official support channels, and
- support has been unable to resolve the issue.
Submitting a support request is required before a refund can be processed. A support ticket reference may be required.
Refunds will not be issued for:
- change of mind,
- purchasing the wrong license/tier,
- assumed or unadvertised functionality, or
- incompatibilities outside the stated requirements (see Section 13).
Renewals are non-refundable.
10) Exceptions (Digital Downloads)
By downloading the Product after purchase, you acknowledge that you are receiving a digital product and access to download files and/or license services.
If you believe you purchased by mistake and you have not downloaded the Product, contact support immediately.
11) Support
Support is provided only to license holders with an active license term and is delivered through SurgeWP’s official support channels.
SurgeWP products are provided “as is” and without any guarantee they will function in every environment, theme, or with every third-party plugin. SurgeWP does not provide support for third-party software not developed by SurgeWP.
SurgeWP reserves the right to refuse support for any reason (including subject matter, abusive behaviour, or misuse). Where support is refused, SurgeWP may, at its discretion, provide a refund (if within the refund window and consistent with Section 9).
12) Third-Party Services & AI Provider Integrations
Some SurgeWP Products include integrations with third-party services, including AI providers (the “Third-Party Services”). Where you enable or use these features, you acknowledge and agree that:
- Data sent to providers Any prompts, code, text, images, files, or other content you submit through AI features (“Input”) may be transmitted to Third-Party Services in order to generate responses (“Output”). SurgeWP does not control Third-Party Services and is not responsible for how they process or handle data.
- Provider terms apply Your use of Third-Party Services may be subject to the provider’s own terms, policies, and restrictions. You are responsible for complying with those terms.
- No sensitive/confidential data You must not submit sensitive, confidential, or personal information through AI features unless you have a lawful basis and are comfortable with it being processed by Third-Party Services.
- You own or have rights to what you submit You represent and warrant that you have all necessary rights to submit Input and to use the Output, and that doing so does not infringe any third-party rights.
- Accuracy and review AI-generated Output may be inaccurate or incomplete and may produce errors. You are solely responsible for reviewing, testing, and validating Output (including code) before using it in production.
- Availability & changes Third-Party Services may be rate-limited, unavailable, changed, or discontinued at any time. SurgeWP may modify, replace, limit, or remove integrations to maintain functionality or compliance.
- Costs & usage limits Where applicable, usage limits, quotas, or costs associated with AI features may apply as described on the Site or within your account.
13) Prohibited Conduct
You may not:
- share the plugin files publicly (free or paid),
- resell, sublicense, or “bundle” the Product as a standalone offering,
- crack, hack, bypass licensing, or “null” the Product,
- share license keys with people not affiliated with your license usage,
- re-post or publish private support responses, paid documentation, or restricted resources (including screenshots) outside permitted use.
Violation may result in immediate license termination without refund.
14) Warranty Disclaimer
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SURGEWP DOES NOT WARRANT THAT THE SOFTWARE OR ANY RELATED SERVICE WILL ALWAYS BE AVAILABLE OR ERROR-FREE.
Where applicable, SurgeWP Products are intended to run on a clean installation of WordPress with required dependencies as stated on the Product page (for example, Advanced Custom Fields Pro, where relevant). SurgeWP does not guarantee compatibility with all third-party themes, plugins, browsers, hosting environments, server configurations, or custom code.
You are responsible for maintaining backups. SurgeWP is not responsible for any data loss, corruption, or exposure resulting from installation or use.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU ASSUME ALL RISK ASSOCIATED WITH THE INSTALLATION AND USE OF THE SOFTWARE. IN NO EVENT SHALL SURGEWP (INCLUDING ITS AUTHORS OR COPYRIGHT HOLDERS) BE LIABLE FOR ANY CLAIMS, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR ITS USE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR SERVICE UNAVAILABILITY.
16) Indemnity
You agree to indemnify and hold harmless SurgeWP from any third-party claims, actions, suits, and related expenses (including reasonable legal fees) arising from your misuse of the Software or violation of these Terms.
17) Price Changes
SurgeWP reserves the right to modify, discontinue, or change pricing for any Product or license plan at any time. Where possible, notice will be provided via the Site or email.
18) License Termination
SurgeWP may terminate or suspend your license immediately (without notice) if you breach these Terms, including any prohibited conduct listed in Section 12.
Upon termination, access to updates, support, and restricted resources may be revoked. No refund requests will be accepted where termination is due to breach.
19) Acceptance & Changes to Terms
By purchasing or using SurgeWP Product(s), you confirm you have read and agree to these Terms.
SurgeWP reserves the right to change or modify these Terms at any time. Updated Terms will be posted on the Site and apply from the date they are published.
